Introduction

These Terms of Service ("Terms") govern your use of WorkSuite GH's HR and payroll software services ("Services") provided by WorkSuite GH ("we," "us," or "our") in Ghana. These Terms constitute a legally binding agreement between you and WorkSuite GH.

By accessing or using our Services, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are agreeing on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

Service Description

WorkSuite GH provides comprehensive HR and payroll management solutions designed for Ghanaian businesses, including:

• Payroll processing and tax calculations
• Employee data management
• GRA compliance and tax filing assistance
• HR analytics and reporting
• Client portal and invoicing
• Inventory management integration
• Finance and expense tracking

User Accounts and Responsibilities

Account Registration

To access our Services, you must create an account and provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Providing accurate employee and business information

User Responsibilities

As a user of our Services, you agree to:

1. Use the Services only for legitimate business purposes
2. Comply with all applicable Ghanaian laws and regulations
3. Provide accurate employee data for payroll processing
4. Ensure timely payment of subscription fees
5. Not attempt to reverse engineer or hack our systems
6. Not use the Services for any illegal or unauthorized purpose

Subscription and Payment Terms

Subscription Plans

We offer various subscription plans tailored to different business needs. Subscription fees are charged on a monthly or annual basis as selected during registration.

Payment Terms

• Payments are processed in Ghana Cedis (GHS) or other agreed currencies
• Subscription fees are non-refundable except as specified in our refund policy
• We reserve the right to change pricing with 30 days notice
• Late payments may result in service suspension

Data Protection and Security

We are committed to protecting your data in accordance with Ghana's Data Protection Act, 2012 (Act 843). Our data protection practices include:

• Encryption of sensitive data in transit and at rest
• Regular security audits and vulnerability assessments
• Access controls and authentication mechanisms
• Employee training on data protection
• Secure data backup and recovery procedures

You acknowledge that you are responsible for maintaining the security of your login credentials and for all activities under your account.

Compliance and Legal Obligations

Ghana Revenue Authority (GRA) Compliance

Our Services are designed to help you comply with Ghanaian tax laws, including:

• PAYE tax calculations and deductions
• SSNIT contributions
• Annual tax return preparation assistance
• W-2 and 1099 form generation

Legal Compliance

You are responsible for ensuring that your use of our Services complies with:

• Ghana Labor Act, 2003 (Act 651)
• Data Protection Act, 2012 (Act 843)
• Tax Administration Act, 2016 (Act 915)
• Other applicable Ghanaian laws and regulations

Prohibited Activities

You may not use our Services to:

• Process payroll for illegal activities or unauthorized workers
• Submit false or fraudulent employee information
• Evade taxes or other legal obligations
• Violate employee privacy rights
• Distribute malware or engage in hacking activities
• Spam or send unsolicited communications
• Infringe on intellectual property rights

Intellectual Property

All content, features, and functionality of the WorkSuite GH platform are owned by WorkSuite GH and are protected by copyright, trademark, and other intellectual property laws.

Your Rights

You retain ownership of your business data and employee information. You grant us a limited, non-exclusive license to use your data solely for providing the Services.

Our Rights

We retain all rights to the software, platform, and proprietary technology. You may not copy, modify, distribute, or create derivative works of our Services without explicit permission.

Termination

Termination by User

You may terminate your account at any time by providing written notice. You will continue to be charged for the current billing period.

Termination by WorkSuite GH

We may terminate or suspend your account immediately if you:

• Violate these Terms of Service
• Engage in fraudulent or illegal activities
• Fail to pay subscription fees
• Compromise the security or integrity of our systems

Effect of Termination

Upon termination, your right to use the Services ceases immediately. We will provide you with your data in a reasonable format upon request, subject to applicable laws.

Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties including:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy or completeness of tax calculations
• Uninterrupted or error-free operation

Limitation of Liability

To the maximum extent permitted by law, WorkSuite GH shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

• Loss of profits, revenue, or business opportunities
• Data loss or corruption
• Tax penalties or legal consequences
• Service downtime or interruptions

Our total liability for any claims arising from these Terms shall not exceed the amount you paid for the Services in the six months preceding the claim.

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website or sending you notice. Your continued use of the Services after changes constitutes acceptance of the modified Terms.

For significant changes, we will provide at least 30 days notice via email or prominent website notification.

Governing Law and Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of Ghana, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or our Services shall be resolved through:

1. Good faith negotiation between parties
2. Mediation through a mutually agreed mediator
3. Arbitration under Ghanaian arbitration laws

Legal proceedings shall be conducted in the courts of Accra, Ghana.

Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and WorkSuite GH.
• Severability: If any provision is deemed unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any provision does not constitute a waiver.
• Assignment: You may not assign these Terms without our written consent.
• Notices: All notices shall be sent to the contact information provided in your account.
